The JVC Kenwood Group planned to sell the JVC Yokohama Plant in June 2010, based on its medium-term management plan formulated in May 2010. The headquarters of JVC KENWOOD Holdings, Inc. (JVC Kenwood) and of its subsidiary, Victor Company of Japan, Limited (JVC) were located there. In addition, the Group planned to hand over the property by the end of December.

The Group hereby announces that the headquarters of JVC Kenwood and JVC have been relocated from the JVC Yokohama Plant to the adjacent JVC Irie Plant (renamed as the “Head Office and Yokohama Business Center”). The Group has also completed realigning the business divisions to have integrated group management, enhance the efficiency of business operations and maximize integration effects.

1. Outline of relocation of headquarters and optimal realignment

The JVC Kenwood Group has been steering its operations from a stage of structural reform to one of growth, based on its medium-term management plan. During this, it has made the operating companies of the Group — JVC, Kenwood and J&K Car Electronics — companies without a board of directors or board of auditors. It has also integrated the head office functions that used to exist separately in JVC Kenwood and operating companies. It has done this as way to pursue integrated management, aimed at unifying the Group.

The Group recognizes that relocating the head office is an opportunity for the new JVC Kenwood Group to make a leap forward. Thus, to further promote integrated group management, the Group has optimally realigned the headquarter functions, centered on JVC Kenwood, and of the business divisions concentrated in the three operating companies. And recently the Group has completed transferring and reallocating a total of roughly 2,000 employees. They are located in areas including the headquarters of JVC Kenwood and JVC that used to be located in the JVC Yokohama Plant, the Business Solution Division and the Home & Mobile Electronics Business Division.

Through these transfers and reallocations, the Group promoted integrated management over the businesses of JVC and Kenwood. It did this by means of physically reorganizing personnel to establish an infrastructure that can maximize the effects of integration in each business segment, aiming for steady advancement of its medium-term management plan.

In addition, each location’s name was changed from an operating company name to a group-wide name. The JVC Irie Plant, where the headquarters of JVC Kenwood and JVC as well as Home & Mobile Electronics Business Division have been relocated, was renamed the Head Office and Yokohama Business Center. Further, the site’s name of Techno Wing was changed to the Head Office Building. The Kenwood Yokohama Business Center and JVC Yokosuka Plant, where the Business Solutions Division has been relocated, were renamed the Hakusan Business Center, and the Yokosuka Business Center respectively.

Going forward, the Group will also help to unify employee awareness and corporate culture, further demonstrate the integration effects of each business and promote growth strategies under integrated group management.

(1) Head office relocation

The head office functions of JVC Kenwood and JVC have been transferred and centralized from the multiple buildings of the JVC Yokohama Plant to the Head Office Building in the adjacent Head Office and Yokohama Business Center. Through optimally realigning the Group in a way that values coordination between head office functions, the Group will more quickly promote integrated group management and enhance operating efficiency at the head office.

At the Head Office Building, we will establish an IP network and enhance common space while unifying systems for internal and external communication and data management that used to differ from one operating company to another. We will also implement reforms to improve the work styles of individuals and organizations, group-wide sharing of information and communication, and meeting styles. The aim is to enhance operating efficiency and activate the overall organization.

(2) Realignment of business locations

The Business Solutions Division that used to be located in the JVC Yokohama Plant was realigned to maximize the synergistic effects of integrated management with Kenwood’s wireless device business. And the business headquarters were transferred and integrated with the Hakusan Business Center, the central location of the wireless device business. Meanwhile the key development and manufacturing functions were transferred to the Yokohama Business Center, where the major domestic plant for the business solutions business is located.

The Home & Mobile Electronics Business Division that used to be located in the JVC Yokohama Plant was transferred to the Head Office Building of the Head Office and Yokohama Business Center, where other Home & Mobile Electronics Business units are located.

Through the realignment of business divisions across operating companies, the Group will expedite its efforts aimed at maximizing integration effects.
