JVCKENWOOD Corporation (JVCKENWOOD) hereby announces organizational and personnel changes and changes in appointed duties of Directors effective April 1, 2012 as follows.

1. Purport of Organization Changes

Following the organizational changes in the Home & Mobile Electronics Business Group (HM) effective January 16, 2012, JVCKENWOOD will establish the Car Electronics Business Division and the Professional Systems Business Division, which will be responsible for planning and developing hybrid products and strategic allocation of business group resources in the Car Electronics Business Group (CE) and the Professional Systems Business Group (PS), respectively, to develop an optimal system for the execution of business strategies.

In addition, JVCKENWOOD will further pursue the clarification of missions and the revision of duplicate functions, which the Corporate Division has been working on, to change the division into a more general and flexible organization, and will reallocate human assets to business divisions. It will also reform the Strategic Research & Development Division, which has grown significantly as a result of the organization change effective February 16, by incorporating IT Operations and the technology promotion function of CS, Safety, and the Service Office, which are under the former Corporate Administration Division (presently, Human Resources Management & Administration Division), into a system appropriate to the new organization.

2. Major Organization Changes

(1) CE Business Group

— Creation of CE Strategic Business Planning Division —

• The CE Strategic Business Planning Division will be established as a level 1.5 unit under the direct control of the COO*.

(2) PS Business Group

— Integration of the Communications System Division with the Business Solution Division and creation of a cross-divisional organization —

• The Communications System Division will become a level 1.5 unit as Communications System Operation under the BS Division.
• Operational Divisions under the BS Division will be reorganized by function into Sales & Marketing Operation and Engineering Operation (both level 1.5 units).
• The PS Strategic Business Planning Division will be established as a level 1.5 unit cross-divisional organization under the direct control of the COO.
• The Quality Assurance Division will be established as a level 1.5 unit cross-divisional organization under the direct control of the COO.

(3) Global Production & Procurement Division

— Creation of the Global Monozukuri Center, the Production Information and Logistics Division and the Quality Guarantee Division —

• The Production Innovation will be reorganized into the Global Production Center (a level 1.5 unit).
• The Production IT Systems & Global Logistics Operation (a level 1.5 unit), which will be in charge of accelerating the reform of value chains, and the Quality Management Operation (a level 1.5 unit), which will be in charge of cross-company quality administration, will be established.
